1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Service" refers to any consulting service provided by Naga Bridge, including Business Health Diagnostic, Change Navigation Support, and Board and Governance Consulting.
- "User" or "Client" refers to any individual or organization that engages Naga Bridge for services or accesses this website.
- "We," "Us," or "Our" refers to Naga Bridge, located at 56 Sukhumvit Soi 31, Khlong Toei Nuea, Watthana, Bangkok 10110, Thailand.
- "Agreement" refers to these Terms and Conditions together with any engagement letter or service proposal.
- "Content" refers to reports, documentation, frameworks, and other materials produced during an engagement.
2. Acceptance of Terms
By engaging our services, submitting an inquiry via our website, or otherwise interacting with Naga Bridge, you confirm that you have read and agree to be bound by these Terms and Conditions.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement in order to use our services. By accepting these terms, you represent that you meet these requirements.
3. Description of Services
Naga Bridge provides the following consulting services to businesses in Thailand:
- Business Health Diagnostic — A structured review of financial, operational, and organizational performance, delivered as a visual priority report. Fee: ฿7,900. Duration: 2–3 weeks.
- Change Navigation Support — Facilitation and framework development for organizations managing transitions. Fee: ฿24,000. Duration: 4–8 weeks.
- Board and Governance Consulting — Advisory support for establishing or improving corporate governance structures. Fee: ฿45,000. Duration: 2–3 months.
Services are available to businesses based in Thailand. Delivery may include on-site visits within the Bangkok metropolitan area and remote sessions for clients in other regions.
4. Engagement Process
All service engagements begin with an initial consultation, followed by the issuance of a written engagement letter detailing scope, deliverables, timeline, and fees. No binding service engagement exists until the client has confirmed acceptance of the engagement letter in writing.
Any changes to scope must be agreed in writing by both parties before additional work is undertaken. Work outside the agreed scope will be quoted separately.
5. User Responsibilities
As a client or user of our website, you agree to:
- Provide accurate and complete information during the engagement process
- Make available necessary documents, data, and personnel access as reasonably required for service delivery
- Use our website and services only for lawful purposes
- Not misrepresent your identity, affiliation, or the purpose of your engagement
- Not use information obtained from us to harm, deceive, or disadvantage any third party
6. Intellectual Property
All methodologies, frameworks, templates, and processes used in delivering our services remain the intellectual property of Naga Bridge. Deliverables produced specifically for your engagement — such as reports, governance charters, and roadmaps — are provided for your internal business use.
You may not reproduce, distribute, or commercialize engagement deliverables without our prior written permission. Website content, including text, design, and branding, is the exclusive property of Naga Bridge.
7. Payment Terms
Service fees are as stated in the relevant engagement letter. Standard payment terms:
- An initial deposit (typically 50% of the total fee) is required before work commences
- The remaining balance is due upon delivery of final outputs
- Payments are accepted via Thai bank transfer
- All fees are stated in Thai Baht (THB)
Late payment may result in a pause of service delivery. Continued non-payment may result in cancellation of the engagement and recovery of costs already incurred.
8. Cancellation and Refunds
Cancellation terms vary by stage of the engagement:
- Before work commences: Full refund of deposit, less any costs already incurred for preparatory work.
- After work has commenced: Fees are payable for work completed to the point of cancellation. Deposits are non-refundable in this scenario.
- Cancellation by Naga Bridge: If we are unable to complete a contracted engagement for reasons within our control, we will refund fees proportionate to work not yet delivered.

9. Confidentiality
Naga Bridge treats all client information with strict confidentiality. A mutual non-disclosure agreement is executed at the start of every engagement. We do not share client data, findings, or business information with third parties except as required by law or with explicit client consent.
Clients are similarly expected to treat any proprietary methodologies, templates, or internal business information of Naga Bridge as confidential.
10. Disclaimers
Naga Bridge provides consulting advice based on the information made available to us at the time of the engagement. Our recommendations are informed professional opinions and do not constitute legal, financial, or regulatory advice. Clients are responsible for all decisions made on the basis of our work.
We make no representations about specific business outcomes resulting from our engagements. Our website and services are provided on an "as is" basis without warranties beyond those required under Thai law.
11. Limitation of Liability
To the extent permitted by Thai law, Naga Bridge's total liability in connection with any engagement shall not exceed the total fees paid for that specific engagement. We shall not be liable for indirect, consequential, or incidental losses arising from the use of our services or website.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising from or in connection with these terms shall first be subject to good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to the exclusive jurisdiction of the courts of Bangkok, Thailand.
13. General Provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. Failure to enforce any right under these Terms does not constitute a waiver. These Terms, together with any applicable engagement letter, constitute the entire agreement between the parties regarding the subject matter herein.
14. Changes to These Terms
We may update these Terms and Conditions from time to time. When we do, we will update the "Last Updated" date above. For ongoing engagements, material changes will be communicated directly. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
